User Agreement

Welcome to the User Agreement for the Universe of Memory. This agreement describes the terms on which you may access and use our services. In order to become the Universe of Memory user, you must read and accept all of the terms and conditions of this agreement and the Privacy Policy. If you do not agree to be bound by the terms, you may not use or access our services.

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website. Your continued use of the Universe of Memory service indicates your acceptance of the amended User Agreement.

User Conduct

You understand and agree not to use the Universe of Memory to:

• Post content or initiate communications that are unlawful, libellous, abusive, obscene, discriminatory, or otherwise objectionable.
• Use the Universe of Memory Service for any illegal purpose, including but not limited to conspiring to violate laws.
• Upload, post, email, transmit or otherwise make available any content or initiate communications that include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships.
• Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
• Upload, post, email, transmit or otherwise make available unauthorized advertising.
• Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Stalk or harass anyone.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Universe of Memory Service.
• Forge internet request query in order to access pages that you are not authorized to view or perform operations that you are not authorized to perform.
• Interfere with or disrupt the Universe of Memory or servers or networks connected to the Universe of Memory Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Universe of Memory.
• Use any device, software or routine to interfere or attempt to interfere with the proper working of the Universe of Memory.
• Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Universe of Memory Service.
• Use the Universe of Memory Service in any manner other than as expressly authorized in the User Agreement.
• Use any robot, spider, other automatic devices, or manual process to monitor or copy any content on the Universe of Memory Service.
• Reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Universe of Memory Service, use of the Universe of Memory Service, or access to the Universe of Memory Service unless explicitly authorized by the Universe of Memory with proper attribution to the Universe of Memory.

International Use

Recognizing the global nature of the Internet, you agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Information provided on this Website

You understand that by posting materials on the Universe of Memory website or otherwise providing materials to the Universe of Memory, you are granting to the Universe of Memory a royalty-free, perpetual, irrevocable license to use this information in the course of offering the Universe of Memory service.

Furthermore, you understand that the Universe of Memory retains the right to reformat, excerpt, or translate any materials submitted by you. You understand that all information publicly posted or privately transmitted through the Universe of Memory Service is the sole responsibility of the person from which such content originated and that the Universe of Memory will not be liable for any errors or omissions in any content.

The Universe of Memory Communications

In the course of providing you services, the Universe of Memory may need to communicate with you via email (see our Privacy Policy to learn more about communications). You agree to receive emails that are specific to you / your account and necessary for the normal functioning of the Universe of Memory Service. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the Universe of Memory Service.

Monitoring and Enforcement

While we have the right to monitor activity and content associated with the Universe of Memory Service, we are not obligated to do so. And since we do not, and may not have the ability to, control or actively monitor content we don’t guarantee its accuracy, integrity or quality. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our website, you may be exposed to content that you find offensive or objectionable. You can contact us to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions.

However, because situations and interpretations vary, we also reserve the right not to take any action. Please remember that you can always choose to refrain from using any part of the Universe of Memory Service that may expose you to something that you are uncomfortable with. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

Indemnification

By accepting this User Agreement, you agree to indemnify and otherwise hold harmless the Universe of Memory, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the Universe of Memory Service; ii) unauthorized access to or alteration of your communications with or through the Universe of Memory Service, or iii) any other matter relating to the Universe of Memory Service. Any business transactions which may arise between users from their use of the Universe of Memory are the sole responsibility of the users involved.

You understand and agree that the Universe of Memory may disclose the information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this User Agreement, or protect the rights, property, or safety of the Universe of Memory, its users, and the public.

Disclaimer of Warranties

YOU UNDERSTAND AND AGREE THAT THE UNIVERSE OF MEMORY SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT THE UNIVERSE OF MEMORY DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY OR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS BETWEEN USERS. THE UNIVERSE OF MEMORY ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY COMMUNICATIONS BETWEEN USERS. THE UNIVERSE OF MEMORY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

THE UNIVERSE OF MEMORY MAKES NO WARRANTY THAT (i) THE UNIVERSE OF MEMORY SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE UNIVERSE OF MEMORY SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE UNIVERSE OF MEMORY SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE UNIVERSE OF MEMORY SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE UNIVERSE OF MEMORY SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE UNIVERSE OF MEMORY OR THROUGH OR FROM THE UNIVERSE OF MEMORY SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER AGREEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Entire Agreement

The User Agreement constitutes the entire agreement between you and the Universe of Memory and governs your use of the Universe of Memory Service, superseding any prior agreements between you and the Universe of Memory.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE UNIVERSE OF MEMORY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE UNIVERSE OF MEMORY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT WILL THE UNIVERSE OF MEMORY`S TOTAL CUMULATIVE DAMAGES EXCEED US$ 100.

Governing Law

The User Agreement between you and the Universe of Memory will be governed by and construed in accordance with the laws of Poland without regard to conflict of laws principles.

Terms of Sale

 

 

Access to certain materials, video and other course content on the Services is made available for purchase. Your payment for any access to any Universe of Memory Services is subject to the following terms:

Price; Payment Plans. The price for any Premium Services will be made available via the Services at the time of purchase. You may pay for access to the Premium Services in full at the time of your purchase or pursuant to any installment payment plan that we make available.

Installment Payment Plans. If you choose an installment payment plan, you hereby grant us permission to automatically charge the applicable Premium Services fee to your designated payment method at the beginning of each applicable payment period until all payments have been completed. If you select an installment payment plan, you agree to keep your designated payment method information, including all billing information, current, complete and accurate.

Valid Payment Methods. Only valid payment methods acceptable to us, or our designated payment processors, may be used to purchase access to Universe of Memory Services. By submitting your order to purchase access to our Premium Services, you represent and warrant that you are authorized to use your designated payment method and authorize us, or our designated payment processors, to charge your purchase to that method. If your payment method cannot be verified or is invalid, your order may be suspended or cancelled automatically. You must resolve any problem we, or our designated payment processors, encounter in order to proceed with your order.

Refunds. To be eligible for a refund, you must make a refund request through our customer service team (bartosz@universeofmemory.com) within the applicable time period set forth on the Sales Page for each individual product.

No Cancellations. Other than in connection with our Refund Policy, all sales are final and we do not offer any refunds or cancellations. If you select an installment payment plan, you will be obligated to complete all installment payments.

Failure to Pay: A failure to pay an installment payment related to any of the Services may result in the immediate suspension or termination of all Services. Upon suspension or termination, you will no longer be able to access your account and any Services. To maintain access to your account and all corresponding Services, your account and payments must be current and in good standing for all programs and Services for which you have registered. Pursuant to our Refund Policy, if your account is suspended or terminated for a failure to pay, you will not receive any refund except at our sole discretion and any scheduled automatic renewals will not occur.

Errors in Charges. In the event of an error that results in an incorrect charge, we reserve the right to correct such error and revise your order accordingly if necessary (including charging the correct price) or to cancel the order and refund any erroneous amount charged. In addition, we may, in lieu of a refund as provided in this paragraph, opt to provide you with a service credit, with a value equal to the amount charged to your payment method.

Taxes. You are responsible for any applicable sales or use tax, duties, or other governmental taxes or fees payable in connection with your purchase. If you do not pay such sales or other tax or fee on a transaction, you will be responsible for such taxes or fees in the event that they are later determined to be payable on such sale, and Company reserves the right to collect such taxes or other fees from you at any time.

Access to Services. Upon payment in full for a program advertised as “lifetime access,” you will receive access to the program that you purchased for the duration of the time The Universe of Memory operates the Site and your specific program, subject to these Terms. We reserve the right to discontinue programs and adjust the Site and programs at our sole discretion, If that happens, you will be notified in advance, so that you can download the purchased product.
